Go1099, LLC

Applicant/Professional Member Agreement

This agreement is entered into between Go1099, LLC located at 8711 E. Pinnacle Peak # 249, Scottsdale, AZ 85255 (hereinafter Go1099) and the (Applicant/ Professional Member)

Terms & Conditions

  1. By posting an application on this Website, Applicant agrees that he or she has at least 7 years of relevant experience for the project that is being sought. Applicant further agrees that medical and dental insurance are not needed as part of any assignment and that Applicant already has some form of medical insurance. Applicant further waives any need for an Employer chosen from this Go1099 website to provide medical or dental insurance.
  2. Applicant agrees that he or she is investigating temporary, short or long term work assignments without any commitments to permanent or full-time employment. Any Employer commitments that result from these short or long term assignments are entirely at the discretion of the Employer.
  3. Go1099 does not guarantee that the posting of a resume on this site will result in any contacts or job offers. Go1099 is only a tool to present Applicant’s information to potential Employers. Go1099 offers no warranty about representations made by Employer.
  4. While Applicant’s contact information will only be released to Employers paying a fee to Go1099, Go1099 does not guarantee the security of Applicant’s contact information. If Applicant’s information is requested by an Employer, an email will be sent to the Applicant providing the name of the Employer.
  5. Applicant agrees that by posting his or her information on this site, Applicant will accept either a fixed hourly rate or a fixed project fee as negotiated with the employer. Extra costs of any assignment, including travel expenses, bonuses, or benefits, are at the sole discretion of the employer, and are matters of negotiation between Employer and Applicant. Go1099 advertises Applicant’s availability at a fixed hourly rate or a fixed daily rate without overhead costs or benefits. Any additional expenses to be born by any employer, are strictly at the employer’s discretion.
  6. By accepting projects/assignments posted on Go1099.com, Professionals/Consultants agree to have Go1099 provide contract and billing services to cover such projects or assignments. Professionals/Consultants also agree to pay Go1099 a commission of 2.5 % on the total amount of the contract and billing. Go1099 will deduct this commission from the amount paid to the Professional/Consultant.
  7. Applicant agrees that any circumstance or occurrence which causes the project or assignment to end early is at the sole discretion of the Employer and has no cause or claim against Go1099.
  8. Applicant agrees to indemnify Go1099 and pay for all legal fees and cost for Go1099 if for reasons associated with Applicant/Member’s performance Go1099 is made a party to a lawsuit administrative proceeding or other action.
  9. Applicant/Member agrees that any disputes that may arise between Applicant/Member and Go1099, must be submitted to Mediation and if not successful then Arbitration prior to any law suit is filed with any court of competent jurisdiction or administrative agency. Applicant/Member agrees that the suit may be dismissed and will cover all costs for dismissal if Mediation and Arbitration is not first conducted. Any mediation or arbitration must be conducted in Maricopa County, State of Arizona.
  10. This agreement will be governed by the laws and statutes of the State of Arizona.
  11. If any provision of this agreement is deemed void by a court of competent jurisdiction then that sole provision will be stricken and the remaining agreement shall stay in full force and affect.
  12. All terms are to be considered gender neutral.
  13. Any changes in this agreement shall be in writing and signed by both parties to be enforceable.
  14. Applicant/Member agrees that this agreement and access to the online services may be terminated for any of the following reasons: Dismissal from an assignment for cause, failure to pay fees or dues for services, providing false or inaccurate information on resume.
  15. Applicant/Member agrees that by registering with this site this agreement shall be enforceable upon submission of information. A written signature is not required for this agreement to be enforced against the Applicant/Member.

Go1099, LLC

Employer Member Agreement

This agreement is entered into between Go1099,LLC located at 8711 E. Pinnacle Peak # 249, Scottsdale, AZ 85255 (hereinafter Go1099) and the Employer.

Recitals

Whereas it is in the best interest of both parties to work together to maintain a successful work staff of professionals, the employer agrees to provide information concerning positions available for temporary professional staff.

Whereas if a permanent position becomes available prior to the end of the temporary assignment both parties must agree in writing that an offer can be made. Go1099 will not withhold any written agreements for unreasonable cause.

Terms & Conditions

  1. Employer agrees to use GO1099 to find Applicants for assignments that are temporary and may become permanent at a future date.
  2. Employer understands that Applicants posted on GO1099’s website are not in need of medical or dental insurance as part of any assignment. Employers are free to offer and negotiate any form of compensation with Applicants registered with this Website.
  3. By posting projects/assignments, Employers agree to have Go1099 provide contract and billing services to cover any Professional/Consultant selected to perform a project or assignment. Employers also agree to pay Go1099 a commission of 7.5 % on the total amount of the contract and billing. Go1099 will deduct this commission from the amount paid to the Professional/Consultant.
  4. GO1099 does not guarantee that this site will result in any contacts to make or accept job offers. GO1099 is only an interface to present Applicant’s information to Employers who may wish to find staffers.
  5. Employer agrees that GO1099 does not warrant the character, representations, or quality of any of its Applicants. GO1099 has no liability for any dispute resulting in claims between Applicant and Employer.
  6. GO1099 is only an interface to connect Applicants with Employers. GO1099 does not warrant any representation made by either Employer or Applicant, and does not investigate these representations.
  7. Go1099 and Employer agree to indemnify and pay for all legal fees and cost for each other if for reasons associated with each party the other is brought into a law suit. If employer is sued and Go1099 is made a part of the suit, the Employer may agree to provide a defense and require Go1099 to subrogate the claim or defense to Employer as long as the defense is aligned with each party and Employer pays all costs and judgments if the matter results in a judgment against the employer or Go1099.
  8. Employer waives any claims or causes of actions against Go1099 whether in a court of competent jurisdiction or administrative agency based on the actions of an employee. As stated the personal and professional backgrounds are not investigated by Go1099 and the employer assumes all responsibility of conducting any back ground checks on any application it receives.
  9. Employer agrees that any disputes that may arise between employer and Go1099, must be submitted to Mediation and if not successful then Arbitration prior to any law suit is filed with any court of competent jurisdiction or administrative agency. Employer agrees that the suit may be dismissed and will cover all costs for dismissal if Mediation and Arbitration is not first conducted. Any mediation or arbitration must be conducted in Maricopa County, State of Arizona.

  14. This Agreement may be terminated upon 30 days written notice. If the Agreement is terminated before the expiration of one year from date of Execution by Employer then employer agrees to pay three months of membership dues. If Go1099 terminates agreement prior to one year from date of execution. Then Go1099 must reimburse any remaining fund on account for future services. Unless the contract is terminated for one of the following reasons. Employer has violated any laws in association with the Fair Labor and Standards Act, The American with Disabilities Act and or any claim is filed against them for discriminatory practice whether under state or federal law.
